Terms of Service — DRAFT
Draft for lawyer review. Not legal advice. Replace everything in [brackets]. Effective date: [DATE]. Last synced with the code: 2026-10-25.
These Terms of Service (“Terms”) govern your use of Tack (the “Service”), provided by [COMPANY LEGAL NAME], a [Texas limited liability company] (“we,” “us”). By creating an account, sending a message to the Service, or using our website at asktack.com, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so.
1. What the Service does
Tack is an assistant you reach by text message over iMessage. [WhatsApp support is planned but not yet available.] With your permission, it connects to business tools you use (the tools listed in our Privacy Policy §1a; “Connected Services”) and reads or changes information in them based on your requests. The Service is available in English and Spanish.
The Service uses artificial intelligence, including third-party AI models (currently Anthropic’s Claude), to understand your messages and decide what actions to take. AI can make mistakes. You are responsible for reviewing the confirmations and previews we send you, and for the actions you approve.
2. Eligibility and accounts
- You must be at least 18 years old.
- You must give accurate information (name, email, date of birth) and keep it current.
- You can sign in by texting us a code from the website, or by entering your phone number and receiving a one-time code from us by iMessage. Your account is tied to the phone numbers and Apple ID/email addresses you verify this way. Messages from those addresses are treated as coming from you. Keep your devices secure. Tell us right away at support@asktack.com if you think someone else has access.
- Organization owners and admins control which members can use the organization’s Connected Services and what those members may do.
3. Connected Services and your data in them
- You authorize us to access each Connected Service you connect, only as needed to perform the requests you make and the features you turn on (such as a daily summary).
- You confirm you have the right to connect each account and to let us act in it. Your use of each Connected Service remains subject to that provider’s terms.
- We don’t control Connected Services. We’re not responsible for their availability, changes to their APIs, or their handling of your data.
- You can disconnect a Connected Service at any time by texting us (for example, “disconnect Jobber”), from the dashboard, or from the provider’s own settings. When you disconnect from our side, we ask the provider to revoke our access where it supports that. In every case we delete the stored access credentials and the records we copied from that service: right away when you disconnect through us, and within 7 days when access ends on the provider’s side. [counsel: review — §1 and this sentence updated 2026-10-25 to match the Privacy Policy’s tool list and the 7-day deletion after a provider-side revocation.]
4. Actions, confirmations and responsibility
- Some actions run without a confirmation step. These include creating internal records, notes, jobs or drafts. For these we tell you what we did and, where possible, offer an undo for a limited time.
- Actions that send something to another person (such as invoices, emails, signature requests), involve money, or delete/void records require your confirmation before we perform them.
- You are responsible for actions you confirm, and for the content you ask us to send. Sent messages, invoices and similar items generally can’t be recalled.
- We may decline or pause any request we believe is unsafe, unlawful, or outside the Service’s purpose.
5. Acceptable use
You agree not to use the Service to:
- send spam, unsolicited marketing, or messages to people who haven’t agreed to receive them;
- harass, threaten, defraud, or impersonate anyone;
- violate any law, including privacy, consumer-protection, telemarketing (such as the TCPA), and export laws;
- access accounts or data you aren’t authorized to access;
- interfere with, overload, reverse engineer, or probe the Service or Connected Services;
- process data the Service isn’t designed for, including protected health information under HIPAA, payment card numbers, or government ID numbers, unless we’ve agreed in writing.
6. Messaging
- By signing in or texting us you agree to receive messages from us related to the Service, including one-time sign-in codes you request, as described in our Messaging Terms.
- Reply STOP (or ALTO, PARAR, DETENER, BAJA) to stop messages on a channel, and HELP (or AYUDA) for help.
- Message and data rates from your carrier may apply. iMessage is operated by Apple, and Apple’s terms also apply.
7. Plans, billing and trials
- Paid plans are billed in advance, monthly or annually, through our payment processor (Stripe). Plans include a monthly task allowance as described on our pricing page. Tasks beyond the allowance are billed at the overage rate shown there.
- Free trials end after the stated period or task limit. If you don’t add a payment method, the Service pauses at the end of the trial.
- Subscriptions renew automatically until canceled. You can cancel anytime in the billing portal; cancellation takes effect at the end of the current period. Except where the law requires otherwise, fees already paid are non-refundable.
- If a payment fails, we may pause the Service after a 7-day grace period.
- We may change prices with at least 30 days’ notice before your next renewal.
- “Founding member” prices are honored as long as your subscription stays active without interruption.
8. Our intellectual property; feedback
We own the Service, the software, and our brand. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback, we may use it without obligation to you.
9. Your content
You keep ownership of your messages, files, and data in Connected Services (“Your Content”). You grant us a license to process Your Content only to provide, secure, and improve the Service, as described in our Privacy Policy. We don’t use Your Content to train AI models, and we require our AI providers not to train on it.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SERVICE, ITS AI OUTPUTS, OR CONNECTED SERVICES WILL BE ACCURATE, UNINTERRUPTED, OR ERROR-FREE. Message delivery depends on Apple, carriers, and our messaging setup, which can be interrupted; we don’t control Apple or carriers.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WON’T BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100.
12. Indemnity
If you’re using the Service for a business, you’ll defend and indemnify us against third-party claims arising from Your Content, actions you confirmed, your Connected Service accounts, or your violation of these Terms or the law.
13. Suspension and termination
You can stop using the Service and delete your account at any time from the dashboard. We may suspend or end your access if you violate these Terms, if required by law, or if a provider (such as Apple, Intuit, or Jobber) requires it. When an account is deleted, we delete your data as described in the Privacy Policy.
14. Disputes
- These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.
- [LAWYER TO DECIDE: binding individual arbitration with class-action waiver, or exclusive venue in the state or federal courts in Travis County, Texas.]
15. Language
These Terms are offered in English and Spanish. If the versions differ, [the English version controls — counsel to confirm this is enforceable for Spanish-speaking consumers].
16. Changes
We may update these Terms. If a change is material, we’ll notify you by text or email at least 14 days before it takes effect. Continuing to use the Service after that means you accept the change.
